2025 ZEDQUEST CONSULTANCY LIMITED PARTNERSHIP CHALLENGE PARTICIPATION AGREEMENT
PLEASE READ THIS AGREEMENT CAREFULLY. YOU WILL BE REQUIRED TO PROVIDE YOUR NAME, DATE, AND SIGN THIS AGREEMENT BY CLICKING ‘I AGREE’ AS PART OF THE ONBOARDING PROCESS. FAILURE TO DO SO WILL RESULT IN DISQUALIFICATION FROM THE CHALLENGE.
This Participation Agreement (“Agreement”) is made by and between:
ZEDQUEST CONSULTANCY LIMITED, a company incorporated under the laws of the Republic of Zambia with its registered address at 6768 Akanongo Street, Olympia Ext. Lusaka , herein referred to as “Zedquest” (which expression shall, where the context so admits, include its successors-in-title and assigns), of the one part;
AND
YOU, a registered participant in the Zedquest Partnership Challenge, herein referred to as the “Participant”, of the other part.
Zedquest and the Participant shall be referred to individually as a “Party” and collectively as the “Parties”.
WHEREAS:
- Zedquest is a private company committed to driving development and impact through digital innovation, education, and climate adaptation solutions by building strong partnerships with individuals and institutions.
- The Zedquest Partnership Challenge (“the Challenge”) is designed to foster collaboration with partners that demonstrate potential to drive meaningful solutions in line with Zedquest’s mission in areas such as digital learning, climate action, health, and community impact.
- You have expressed interest in collaborating through the Challenge and have been accepted to participate.
- You are required to enter into this Agreement to confirm your commitment to participating in the Challenge.
- DEFINITIONS
1.1. Capitalised terms not otherwise defined shall carry the meanings assigned to them in this Agreement or accompanying Terms and Conditions.
- AGREEMENT TO PARTICIPATE
By signing this Agreement, You agree to actively participate in the Zedquest Partnership Challenge in accordance with this Agreement, the Terms and Conditions of the Challenge, and other relevant guidelines as may be communicated by Zedquest.
- PARTICIPANT OBLIGATIONS
3.1. You agree to fulfil all responsibilities and expectations set forth by Zedquest in the Challenge, including attending scheduled meetings, completing tasks, submitting required documentation, and engaging in collaborative activities.
3.2. You are responsible for staying informed of all requirements and communications shared by Zedquest and for adhering to applicable deadlines.
3.3. Non-compliance with the Terms and Conditions may result in disqualification or termination of participation in the Challenge.
- REPRESENTATIONS AND WARRANTIES
You represent and warrant that:
4.1. All information submitted by You to Zedquest is accurate and complete.
4.2. Any concept, proposal, or work submitted for consideration is your original creation or you have obtained necessary rights or licenses.
4.3. Participation in the Challenge does not conflict with any existing obligations or agreements.
4.4. You agree to act ethically and responsibly during the course of your engagement with Zedquest and the Challenge, and not to act in any manner that may bring Zedquest or its partners into disrepute.
- COMPLIANCE
5.1. You shall not engage in any corrupt, fraudulent, coercive, or collusive practices during your participation.
5.2. You confirm that neither You nor your organization is engaged in or will knowingly support terrorism, money laundering, or any other illegal activities.
5.3. You will promptly notify Zedquest of any concerns or breaches of these obligations during the course of the Challenge.
- MEDIA, PUBLICITY & DATA CONSENT
6.1. By participating in the Challenge, You grant Zedquest the right to use your name, project, and participation for promotional, public relations, and reporting purposes in a manner that does not reveal sensitive or proprietary details.
6.2. You grant Zedquest the right to use any photos, videos, audio, or related media content captured during the Challenge for non-commercial promotion.
6.3. You agree not to make public statements, grant interviews, or publish content relating to the Challenge or Zedquest without prior consent.
6.4. You consent to Zedquest collecting and storing your personal data for administrative and reporting purposes, in accordance with applicable data protection laws.
- INTELLECTUAL PROPERTY
7.1. Any material provided by Zedquest during the Challenge remains the intellectual property of Zedquest and may not be copied, altered, distributed, or sold.
7.2. You retain full ownership of your ideas, concepts, or proposals submitted, provided that Zedquest may reference such materials for internal assessment, reporting, or promotional purposes (with appropriate credit).
7.3. Zedquest shall not claim rights to your original works or innovations developed outside of the scope of this Challenge.
- CODE OF CONDUCT
8.1. Participants are expected to engage respectfully and professionally in all communications, both online and offline.
8.2. Avoid controversial, defamatory, or offensive remarks, and do not engage in negative online exchanges that may affect your professional image or Zedquest’s reputation.
8.3. Use social media responsibly when referencing your participation, and always align your posts with the values of integrity, collaboration, and innovation.
- TERMINATION
Zedquest reserves the right to terminate your participation at any time for misconduct, breach of agreement, or failure to meet outlined expectations.
- GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Zambia.
- ELIGIBILITY CRITERIA
11.1. Participation in the Challenge is open only to companies that meet the following eligibility requirements:
a. The company must have been legally registered and operational prior to 1 January 2023.
b. The company must be incorporated as a Limited Company under applicable laws.
c. The company’s core business must be closely related to Information and Communication Technology (ICT) and/or General Trading, in alignment with Zedquest Consultancy Limited’s business focus and mission.
11.2. Zedquest reserves the right to request documentary proof of the above eligibility criteria and to disqualify any participant who does not meet these requirements.

By clicking “I AGREE”, You confirm that You have read, understood, and accepted the terms of this Agreement and agree to be bound by them during your participation in the Zedquest Partnership Challenge.
